Subscription Terms

These Subscription Terms ("Terms") govern paid subscriptions to Main Street IQ products purchased through mainstreetiq.com, our Stripe checkout, or by invoice. They are entered into between you (the subscriber) and Main Street IQ LLC, a California limited liability company ("Main Street IQ," "MSIQ," "we," "our," "us").
By subscribing, you agree to these Terms, our Privacy Policy, and our Refund and Cancellation Policy. If you have a signed Master Services Agreement (MSA) with us that covers your subscription, the MSA controls where it conflicts with these Terms.

1. What you are buying
A "Subscription" is a recurring purchase of one of our products. Today's Subscription products include the Discover bundle and single reports, the Monitor and Monitor Plus tiers, and any future product we offer on a recurring basis. Each product has its own description, fee, and billing cadence at checkout. The product description and the fee shown at checkout, together with these Terms, form your Order.
2. Term and renewal — please read
Auto-renewal
Each Subscription renews automatically at the end of its current term, for the same length of term, unless you cancel before the renewal date. This auto-renewal continues indefinitely until you cancel.
For monthly Subscriptions, this means each calendar month renews into the next month. For annual Subscriptions, this means each year renews into the next year on the same date.
We will charge the payment method on file using the fee in effect at renewal (see Section 4).
Cancellation is one click
You can cancel any Subscription at any time:
- Click the cancellation link in any of our renewal-related emails (one click)
- Use the Stripe customer portal linked in your invoice emails
- Email billing@mainstreetiq.com from the email address on the account
Cancellation takes effect at the end of your current paid period. You retain access through that date. You will not be charged again. We will not require you to call, chat with someone, or fill out a form longer than the form you used to subscribe.
This policy meets California's Automatic Renewal Law (California Business & Professions Code §17600 et seq.) and the FTC Click-to-Cancel rule.
Renewal reminders
We will email you a reminder before each annual renewal at least 30 days in advance and not more than 60 days in advance. Monthly subscribers receive renewal-related emails with each invoice and at any change of price.
3. Initial term
Your initial term begins on the date of your first successful charge. Annual Subscriptions have a 12-month initial term. Monthly Subscriptions have a one-month initial term.
For Subscriptions with a multi-period commitment described at checkout (for example, an annual prepaid plan), the commitment runs for the period stated. You may cancel within that commitment, but you will not receive a refund of the prepaid period except as described in our Refund and Cancellation Policy.
4. Fees and price changes
Fees
The fee for each Subscription is shown at checkout and on each invoice. All fees are stated in US dollars.
Taxes
Fees are exclusive of tax. We use Stripe Tax to calculate and add applicable sales, use, VAT, GST, or similar taxes at checkout. You are responsible for any taxes assessed on your Subscription except taxes on our net income.
Annual price increases
Main Street IQ Subscriptions are subject to a standard annual price adjustment of up to 10% per year, effective at each annual renewal. We will notify you of any annual price change at least 30 days before the renewal date. If you do not want to renew at the new price, you can cancel before the renewal date with no fee. If you continue past the renewal date, you accept the new price.
Other price changes
If we change a Subscription's price outside of the standard annual adjustment, we will give you at least 30 days written notice before the change applies to your account. You can cancel before the change takes effect.
5. Billing and payment
Payment method
You must keep a valid payment method on file. We accept ACH (bank debit) and major credit cards through Stripe. ACH is preferred because it reduces processing fees and avoids card-expiry interruptions. For invoiced Subscriptions, Stripe ACH Direct Debit is set up at signing.
Charge timing
We charge in advance for each period: - Monthly Subscriptions: charged at the start of each month - Annual Subscriptions: charged at the start of each year
Failed payments
If a charge fails, Stripe automatically retries on a standard schedule. We will email you about the failure. If your account remains past due:
- After 10 days past due, we may suspend access to Subscription deliverables
- After 30 days past due, we may terminate the Subscription
- Reinstatement after suspension or termination is subject to our discretion and may require payment of any past-due amounts
Late fees
Past-due invoices accrue interest at 1.5% per month (18% per annum) or the maximum permitted by law, whichever is less. If we have to use a collection agency or attorney, you agree to reimburse our reasonable costs of collection.
6. What we deliver
Each Subscription's deliverables are described on the product page and at checkout. Deliverable schedules and content evolve over time as we improve the product. We will not materially reduce the value of a Subscription you have prepaid for during your current term without offering a refund or credit. We may add new content, features, or deliverables at any time.
7. Suspension for misuse
We may suspend or terminate a Subscription, with or without refund depending on the circumstances, if you: - Use the Subscription for illegal activity - Resell, redistribute, or republish our deliverables in violation of Section 8 - Attempt to scrape, mirror, or reverse-engineer our methodology - Behave in a way that materially harms our team or other clients
We will give notice and an opportunity to cure where reasonable.
8. Your rights to use the deliverables
We grant you a non-exclusive, non-transferable, internal-business license to use Subscription deliverables (audits, scorecards, dashboards, reports, content) within your own business for as long as your Subscription is active.
You may share deliverables with your direct partners (legal, accounting, agency, board) for the purpose of operating your business, on the condition that they use the deliverables only for your benefit and treat them as your confidential information.
You may not: - Republish or distribute deliverables to third parties - Resell or sublicense the deliverables - Use the deliverables to build a competing product or service - Strip our branding, attribution, or watermarks
If you cancel, you keep the deliverables you have already received but lose access to ongoing scorecards, dashboards, and renewal-period content.
9. Our IP
We own everything we use to produce the deliverables: methodology, scoring rubrics, query packs, agent code, prompts, and any general improvements to our service. Your Subscription gives you no ownership in those.
10. Your data
We process the personal information you give us, and the data we collect about your business in delivering the Subscription, as described in our Privacy Policy. For business data you authorize us to read on your behalf (Search Console, Analytics, Commerce7, vinSUITE, VineSpring, Stripe, QuickBooks, etc.), we use it solely to deliver the Subscription and improve our anonymized benchmarks. We will not identify you in any benchmark or aggregate output.
You may request deletion or export of your data anytime by emailing privacy@mainstreetiq.com.
11. Disclaimers
THE SUBSCRIPTION IS PROVIDED "AS IS" AND "AS AVAILABLE." DELIVERABLES ARE INFORMATIONAL AND DO NOT GUARANTEE ANY OUTCOME (RANKINGS, TRAFFIC, AI VISIBILITY, REVENUE, OR OTHERWISE). WE DISCLAIM ALL WARRANTIES NOT EXPRESSLY STATED HERE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
DELIVERABLES ARE NOT LEGAL, TAX, FINANCIAL REGULATORY, OR LICENSED PROFESSIONAL ADVICE. CONSULT AN APPROPRIATELY LICENSED PROFESSIONAL FOR THOSE.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SUBSCRIPTION IS LIMITED TO THE AMOUNTS YOU HAVE PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
This limitation does not apply to liabilities that cannot be limited under applicable law.
13. Indemnification
You will indemnify Main Street IQ from claims arising out of your breach of these Terms, your misuse of the deliverables, or your violation of any law or third-party right. We will indemnify you against third-party claims that the methodology used to produce your Subscription deliverables infringes a third party's US copyright, subject to standard carveouts (you must give prompt notice; you must not settle without our consent; we control the defense).
14. Termination
We may terminate the Subscription for cause if you materially breach these Terms and do not cure the breach within 10 days of written notice (or immediately for payment breaches not cured per Section 5). You may cancel at any time per Section 2. On termination:
- You retain access through the end of the paid period (cancellation by you)
- Access ends immediately on termination by us for cause
- We will return or delete your data per Privacy Policy retention rules
- Sections 8, 9, 10, 11, 12, 13, and 16 survive
15. Changes to these Terms
We may update these Terms. We will email subscribers at least 30 days before any material change takes effect. Continued use after the effective date is acceptance.
16. Governing law and disputes
These Terms are governed by California law. The parties will first attempt to resolve any dispute by good-faith discussion for at least 15 days. If unresolved, disputes will be resolved in the state or federal courts located in San Luis Obispo County, California, unless your signed MSA specifies arbitration or another forum.
You and we waive any right to a jury trial. You and we agree not to bring or participate in any class or representative action against the other.
17. Miscellaneous
- Entire agreement: these Terms, the product description at checkout, the Privacy Policy, the Refund and Cancellation Policy, and any signed MSA are the entire agreement between you and us about the Subscription.
- Assignment: you may not assign these Terms without our written consent. We may assign to an affiliate or to a successor in a merger or sale of substantially all our assets, including in connection with the planned consolidation of CCIQ into Main Street IQ.
- Notices: legal notices to us must go to legal@mainstreetiq.com. We will send notices to the email on your account.
- Severability: if any provision is unenforceable, the rest remains in effect.
- No waiver: failure to enforce a provision is not a waiver.
