These Terms of Use ("Terms") govern your access to and use of mainstreetiq.com and any other website or microsite operated under the Main Street IQ or CCIQ brand (the "Site"). The Site is operated by Main Street IQ LLC, a California limited liability company ("Main Street IQ," "MSIQ," "we," "our," "us").
These Terms govern visiting and reading the Site. They are different from the Subscription Terms, which govern paid subscriptions, and from any Master Services Agreement (MSA) or Statement of Work (SOW) you sign with us, which govern paid service engagements. If there is any conflict, the signed agreement controls for service engagements; the Subscription Terms control for paid subscriptions; and these Terms cover everything else.
1. Agreement to these Terms
By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
2. Who can use the Site
The Site is intended for businesses and the people working at them. You must be at least 18 years old. You must have the authority to act on behalf of any company you represent.
3. License to use the Site
We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your own informational use. You may share a public URL of any page, quote short excerpts with attribution, and download our public PDFs for personal or business reference.
You may not: - Republish or redistribute substantial portions of the Site without written permission - Scrape, mirror, or systematically harvest content from the Site (other than legitimate search-engine indexing or AI crawlers we have not blocked) - Reverse-engineer audits, scoring rubrics, or methodologies presented on the Site - Remove or alter copyright, trademark, or attribution notices - Use the Site to send spam, attempt to break security, or interfere with other visitors' access
4. Our content
All content on the Site, including text, graphics, audit examples, scoring rubrics, methodology descriptions, blog posts, code samples, and visual design, is owned by Main Street IQ or licensed to us. "Main Street IQ," "MSIQ," "CCIQ," "Central Coast Intelligence," and our logos are our marks. Other names mentioned on the Site (vendors, clients, sample subjects) are the property of their respective owners and are referenced for editorial or factual purposes only.
We may update or remove content at any time without notice.
5. Your content
If you submit content through the Site (a contact form, a Strategic Brief, a comment, an email), you grant us a worldwide, royalty-free, non-exclusive license to use that content to respond to you, deliver services you have requested, improve our work, and (for anonymized or aggregated insights) build benchmarks. We will not publish identifying details about your business without your written consent.
You represent that you have the right to share whatever you submit and that doing so does not violate any third-party rights or law.
6. Lead magnets, downloads, and free tools
The Site offers downloadable resources, calculators, and assessments at no charge ("Free Tools"). Free Tools are provided as-is for informational purposes. They do not constitute legal, tax, financial, accounting, or regulatory advice. They are not a substitute for engaging a professional.
If a Free Tool produces a result based on inputs you provide, that result is an estimate generated from the methodology described on the Site. We are not liable for decisions you make based on it.
7. AI-generated content disclosure
We use AI tools to draft, synthesize, and edit much of the content on the Site. A human reviews everything before it is published. See our AI Use Disclosure for details. If we publish a piece that was substantially AI-drafted on a topic where authorship matters (legal, medical, regulatory commentary), we will say so explicitly.
8. External links and embedded tools
The Site links to and embeds third-party services (Calendly for booking, Zoho Forms for intake, etc.). We are not responsible for those services' content or behavior. Their use is governed by their own terms.
9. No professional advice
The Site is informational. Reading the Site, downloading a Free Tool, or interacting with our published content does not create a client relationship. A client relationship begins only when a signed agreement and a paid Order Form or subscription are in place.
Nothing on the Site is legal advice, tax advice, financial advice subject to securities or fiduciary regulation, medical advice, or licensed advice of any kind. Consult an appropriately licensed professional for those.
10. Disclaimers
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF CONTENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MAIN STREET IQ AND ITS OFFICERS, MEMBERS, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SITE IS LIMITED TO ONE HUNDRED DOLLARS ($100), OR, IF YOU ARE A PAYING CUSTOMER, THE AMOUNTS YOU HAVE PAID US IN THE TRAILING TWELVE MONTHS, WHICHEVER IS GREATER.
This limitation does not apply to liabilities that cannot be limited under applicable law (such as fraud or willful misconduct).
12. Indemnification
You agree to indemnify and hold Main Street IQ harmless from any claim arising out of (a) your use of the Site in breach of these Terms, (b) content you submit, or (c) your violation of any law or third-party right.
13. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have breached these Terms. Sections that by their nature should survive (sections 4, 5, 9, 10, 11, 12, and 14) will survive termination.
14. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in San Luis Obispo County, California, and you consent to exclusive jurisdiction and venue there. Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.
This venue choice does not apply if you are a paying customer under an MSA that contains its own dispute resolution provisions; the MSA controls in that case.
15. Changes to these Terms
We may update these Terms. The "Last updated" date at the top of the page reflects the latest version. Continued use of the Site after changes are posted constitutes acceptance.
